Terms of Service
Last updated: August 30, 2026
Welcome to The OT Automations Agency (“The OT Automations Agency,” “we,”
“us,” or “our”). These Terms of Service (“Terms”) govern your use of
theotautomations.website
(the “Website”) and, where applicable, your engagement of our consulting,
automation, AI, training-data, local LLM, and robotics-related services
(the “Services”).
By accessing or using the Website, submitting an inquiry, or engaging our
Services, you agree to these Terms. If you do not agree, please do not use
the Website or Services.
1. Scope of Services
The OT Automations Agency provides consulting, planning, implementation
support, integration, training-data services, workflow design, and related
services involving virtual AI automation and physical AI automation.
Services may include, without limitation:
- AI agent workflows, chatbots, voice agents, avatar agents, and automation systems.
- AI training data annotation, evaluation, quality assurance, and dataset preparation.
- Cloud, hybrid, local, and on-premise LLM architecture and integration planning.
- Local AI hardware, GPU, edge-device, server, and infrastructure guidance.
- Customer-support, sales, marketing, CRM, email, browser, and knowledge-base automation.
- Robot training data, teleoperation, robotics workflow design, and physical AI planning.
- Robotics advisory and integration support for warehouses, facilities, manufacturing, inspection, security, education, agriculture, home automation, and related environments.
The specific scope, deliverables, timeline, fees, acceptance criteria,
responsibilities, and ownership terms for a client project will be stated
in a separate written proposal, statement of work, service agreement,
purchase order accepted by us, or other signed agreement (each, a
“Project Agreement”).
If a Project Agreement conflicts with these Terms, the Project Agreement
controls for that specific engagement.
2. Website Use
You may use the Website only for lawful purposes and in accordance with
these Terms. You agree not to use the Website, contact forms, email
addresses, or communication channels to:
- Submit false, misleading, unlawful, harmful, abusive, harassing, or fraudulent content.
- Attempt to gain unauthorized access to the Website, our systems, client systems, accounts, networks, or data.
- Upload malware, viruses, malicious code, or content intended to disrupt systems or users.
- Use scraping, automated collection, or automated access methods without our written permission.
- Infringe another person’s privacy, intellectual-property rights, or other legal rights.
- Use our Services for unlawful, deceptive, discriminatory, unsafe, or unauthorized purposes.
3. Inquiries Are Not a Service Agreement
Submitting a contact form, sending an email, requesting a consultation, or
discussing a potential project does not create a client relationship,
partnership, employment relationship, fiduciary relationship, or obligation
for us to provide Services.
We may accept, decline, pause, or refer inquiries at our discretion. We are
not obligated to begin work until the applicable Project Agreement is
accepted and any required deposit or payment has been received.
4. Client Responsibilities
For client engagements, the client is responsible for providing accurate,
complete, and lawful information; obtaining all necessary permissions,
consents, licenses, and approvals; and ensuring that client-provided data,
content, systems, phone lists, hardware, sites, and instructions may
lawfully be used in connection with the Services.
The client is also responsible for:
- Providing timely access to authorized personnel, documentation, systems, accounts, data, and facilities as needed.
- Maintaining appropriate backups, security controls, access management, and business-continuity procedures.
- Reviewing work, deliverables, AI outputs, configurations, and recommendations before operational use.
- Obtaining legal, regulatory, privacy, employment, tax, industry, safety, and compliance advice appropriate to the client’s operations.
- Ensuring that use of AI agents, call recording, messaging, marketing, telephony, robots, cameras, sensors, and automation complies with applicable laws and internal policies.
- Maintaining qualified staff and appropriate human supervision for client systems, particularly systems that affect customers, employees, facilities, equipment, or physical environments.
5. AI Systems and Outputs
AI systems, including large language models, voice agents, computer-vision
systems, and automation workflows, may produce incomplete, inaccurate,
outdated, inconsistent, biased, or otherwise unsuitable outputs. AI systems
can fail, misunderstand instructions, behave unpredictably, or be affected
by data quality, integrations, model updates, network conditions, hardware,
third-party services, and other factors outside our control.
AI-generated outputs are provided for informational, operational, or
workflow-assistance purposes only and are not guaranteed to be accurate,
complete, lawful, safe, suitable for a particular purpose, or error-free.
The client is responsible for independently reviewing and validating outputs
before relying on them or using them in business, employment, customer,
legal, financial, medical, safety, security, or other consequential
decisions.
Unless explicitly agreed in writing, our Services are not designed or
intended for emergency response, life-safety decisions, medical diagnosis or
treatment, legal advice, financial or investment advice, autonomous weapons,
or other high-risk activities where an error could result in death, bodily
injury, significant property damage, unlawful discrimination, or material
financial loss.
6. Telephony, Marketing, Messaging, and Outreach Compliance
If we assist with AI voice agents, chat, email, SMS, marketing automation,
sales outreach, lead generation, or similar workflows, the client remains
solely responsible for the legality, accuracy, content, targeting, consent,
disclosures, opt-out mechanisms, recording practices, caller identification,
calling times, phone lists, and operational use of those campaigns.
Laws governing telemarketing, automated calls, artificial or prerecorded
voices, SMS, email marketing, call recording, consumer protection, privacy,
and advertising vary by jurisdiction and can change. The client must obtain
qualified legal or compliance advice before launching outbound calling,
texting, recording, marketing, or automated outreach programs.
We do not provide legal advice and do not guarantee that any workflow,
script, agent configuration, contact list, consent process, disclosure, or
campaign complies with applicable laws.
7. Robotics, Physical AI, and Safety
Physical AI, robotics, teleoperation, sensors, cameras, mobile robots,
industrial equipment, and connected devices can involve operational,
property, privacy, cybersecurity, and personal-safety risks. The client is
solely responsible for the safety, security, supervision, testing,
maintenance, operation, site readiness, and regulatory compliance of any
physical system used in its environment.
The client must ensure that qualified personnel conduct required risk
assessments, equipment installation, electrical work, machine guarding,
emergency-stop planning, safety-zone setup, training, inspections,
maintenance, site approvals, and regulatory compliance activities.
Unless a Project Agreement expressly states otherwise, The OT Automations
Agency does not manufacture robots, certify equipment, provide engineering
sign-off, act as a safety authority, operate a client’s equipment, or assume
responsibility for on-site physical safety. Clients must maintain meaningful
human oversight and the ability to pause, stop, or override systems when
appropriate.
8. Third-Party Platforms, Hardware, and Vendors
Our Services may involve third-party models, APIs, hosting providers,
telephony providers, software platforms, open-source software, hardware,
robotics manufacturers, systems integrators, data providers, and other
vendors (“Third-Party Services”).
Third-Party Services are governed by their own terms, privacy policies,
licenses, pricing, technical requirements, and service levels. You are
responsible for reviewing and accepting applicable third-party terms and for
paying third-party fees unless a Project Agreement states otherwise.
We do not control and are not responsible for third-party availability,
outages, changes, discontinuation, pricing changes, data practices,
performance, security incidents, product defects, model changes, policy
changes, or compatibility issues.
9. Fees, Expenses, and Payment
Fees, payment schedules, deposits, expenses, subscription costs,
third-party charges, taxes, and reimbursement terms will be set out in the
applicable Project Agreement or invoice.
Unless otherwise agreed in writing, the client is responsible for all
third-party costs required for a project, including software subscriptions,
API usage, cloud services, telephony, hardware, shipping, travel, licensing,
hosting, data services, repairs, maintenance, and vendor support.
We may pause work, delay delivery, or withhold access to deliverables if
payments are overdue. Amounts paid for completed work, reserved project
capacity, third-party costs, or non-cancelable commitments are generally
non-refundable except as required by law or expressly stated in a Project
Agreement.
10. Intellectual Property
The Website and its original content, text, branding, designs, graphics,
logos, documentation, code, workflows, templates, methods, and materials
are owned by or licensed to The OT Automations Agency and are protected by
applicable intellectual-property laws.
You may not copy, reproduce, distribute, modify, reverse engineer, sell,
license, publish, or create derivative works from Website materials without
our prior written permission, except as allowed by applicable law.
Ownership, licensing, reuse rights, source-code access, client data,
training data, project documentation, custom workflows, prompts,
configurations, and project deliverables will be addressed in the applicable
Project Agreement. Unless expressly assigned in writing, we retain ownership
of our pre-existing tools, templates, methods, know-how, libraries,
frameworks, and general skills.
11. Confidentiality and Data
Each party may receive confidential information from the other during a
project. Confidential information should be treated with reasonable care and
used only for the intended project purpose, subject to the terms of the
applicable Project Agreement.
The client should not submit passwords, payment-card information, highly
sensitive personal information, protected health information, biometric
information, trade secrets, security credentials, or other highly sensitive
data through public website forms unless we specifically request a secure
method of transfer.
Our collection and handling of personal information through the Website is
described in our Privacy Policy. Project-level
data handling, confidentiality, security, retention, deletion, and
processing requirements should be defined in the applicable Project
Agreement when needed.
12. Disclaimers
THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE”
BASIS, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES,
WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT,
ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
We do not guarantee any particular business result, cost savings, revenue,
operational improvement, lead volume, sales conversion, customer-service
outcome, uptime, model performance, data accuracy, security outcome,
hardware performance, robotics capability, regulatory outcome, or return on
investment.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE OT AUTOMATIONS AGENCY, ITS
OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE
FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL
DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS
INTERRUPTION, SECURITY INCIDENT, PROPERTY DAMAGE, OR PERSONAL INJURY ARISING
OUT OF OR RELATED TO THE WEBSITE, SERVICES, AI OUTPUTS, AUTOMATION
WORKFLOWS, ROBOTICS, THIRD-PARTY SERVICES, OR THESE TERMS.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY
ARISING OUT OF OR RELATED TO THE WEBSITE OR SERVICES WILL NOT EXCEED THE
AMOUNT ACTUALLY PAID TO THE OT AUTOMATIONS AGENCY BY THE CLIENT FOR THE
SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS
IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability. In those
jurisdictions, our liability will be limited to the maximum extent permitted
by applicable law.
14. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and
hold harmless The OT Automations Agency and its owners, employees,
contractors, affiliates, and suppliers from claims, liabilities, damages,
losses, and expenses, including reasonable legal fees, arising from or
related to your misuse of the Website or Services; your violation of these
Terms; your data, content, instructions, systems, hardware, campaigns, or
physical environment; or your violation of applicable law or third-party
rights.
15. Suspension and Termination
We may suspend or terminate access to the Website, decline work, pause a
project, or terminate a client engagement if we reasonably believe that a
user or client has violated these Terms, failed to pay amounts due, created
a security or safety risk, requested unlawful or harmful work, infringed
third-party rights, or created a material risk to us, our team, a client,
the public, or a third-party provider.
Project termination rights, notice requirements, payments, data return,
deliverable rights, and transition obligations may be addressed in the
applicable Project Agreement.
16. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the
top of this page indicates when the Terms were most recently revised.
Material changes will be posted on this page or communicated by another
reasonable method where required by law.
Your continued use of the Website after revised Terms are posted means that
you accept the revised Terms. Changes will not retroactively alter the terms
of an existing signed Project Agreement unless both parties agree in writing.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard
to conflict-of-law principles, except where applicable law requires
otherwise. Any dispute arising from or relating to these Terms or the
Website will be brought in the state or federal courts located in Harris
County, Texas, and you consent to the jurisdiction and venue of those
courts.
Nothing in this section prevents either party from seeking emergency
injunctive or equitable relief where appropriate to protect confidential
information, intellectual property, systems, or safety.
